An \u201caccredited investor\u201d includes, but is not limited to: (i) a natural person who, alone or with his or her spouse, has a net worth in excess of $1 million (excluding his or her principal personal residence); (ii) a natural person who has had an income in excess of $200,000 (or in excess of $300,000 if the income of his or her spouse is also considered) in each of the last two years, and who reasonably expects to achieve such income level in the current year; (iii) an entity in which all of the equity owners are accredited investors; or (iv) an organization described in section 501(c)(3) of the Internal Revenue Code, corporation, Massachusetts or similar business trust, or partnership, not formed for the specific purpose of acquiring the securities offered, with total assets in excess of $5,000,000.<\/p>\n
